Why AI is a Governance Issue, Not Just a Tech One

Artificial intelligence (AI) is reshaping how organisations operate, make decisions, and serve customers. From predictive analytics and recruitment tools to automated compliance systems and generative content, AI is no longer a distant innovation. It is embedded in core operations.

But while the technology is advancing rapidly, governance structures are struggling to keep up. Many boards still view AI as something best left to IT or data science teams. In reality, AI now sits at the heart of risk management, accountability, and organisational values. It belongs firmly on the board agenda. 

Governance in the Age of AI 

AI presents a unique governance challenge. It can introduce new efficiencies, but also new risks – especially when left unchecked. These include: 

  • Bias and discrimination: AI systems learn from data, which can reflect existing societal biases. Left unexamined, these systems may reinforce unfair outcomes, particularly in recruitment, lending, and law enforcement. Harvard Business Review and Brookings offer detailed insights on the risks of algorithmic bias. 
  • Lack of transparency: Many AI models, particularly those driven by machine learning, are complex and difficult to interpret. Boards must ensure that organisations can explain how AI is making decisions and what data it is based on. This concern is often referred to as the “black box problem”. 
  • Accountability gaps: When an AI-driven process leads to a poor or harmful decision, who is responsible? Boards need clarity on how accountability is assigned and what redress mechanisms are in place. The UK Information Commissioner’s Office (ICO) offers guidance on ensuring accountability in AI systems. 
  • Regulatory and reputational risk: With regulation tightening – such as the forthcoming EU AI Act – there are growing legal responsibilities around AI deployment. Poor governance can expose organisations to fines, lawsuits, and loss of public trust. 

Questions Boards Should Be Asking 

Boards do not need to understand the technical detail of AI models. But they do need to ask the right strategic and ethical questions. These include: 

  • What AI tools are we currently using or planning to deploy, and in which parts of the organisation? 
  • Who is responsible for AI governance, and is that ownership clearly defined? 
  • Do we understand the risks associated with each use of AI, and how they are being mitigated? 
  • How are we ensuring that AI is used ethically and fairly – and how are those standards enforced? 
  • What processes are in place for monitoring AI performance over time? 
  • Are we transparent with customers, users and stakeholders about how AI is used? 
  • Do board members and senior leaders have the right level of AI literacy to provide meaningful oversight?

AI does not require boards to become technical experts. But it does require curiosity, clarity and strong governance instincts. As with any emerging technology, the principles of good governance still apply: accountability, transparency, ethical leadership, and alignment with organisational purpose.
